A&F advised a minority group of shareholders of a corporation managing a private country club community in connection with a complex shareholder dispute involving restrictions on access to relevant information regarding the company’s economic, financial, and administrative management. The matter included challenges to the actions of the Board of Directors then in office, composed of controlling shareholders, and required the design of a strategy combining technical precision, comprehensive document analysis, and consensus-building among the different shareholder groups.
Our team conducted a comprehensive review of corporate documentation, corporate background, management decisions, and internal control mechanisms, preparing a strategic legal opinion that enabled the identification and documentation of significant irregularities from a corporate governance and shareholder information and oversight rights perspective. Based on this work, the situation was technically organized and presented to the remaining shareholders, creating the conditions for an institutional reorganization of the company.
The shareholders’ meeting resolved to remove the existing authorities and appoint a new Board of Directors with representation from the shareholders advised by our Firm, strengthening the company’s transparency, control, and internal governance mechanisms. The matter represented a significant intervention in the areas of shareholder disputes, minority shareholder protection, and corporate governance, with a direct impact on the institutional and operational normalization of the company.
A&F advised a company belonging to a business group with a presence in the capital markets on the acquisition of a strategic equity interest in a company engaged in the production and commercialization of road infrastructure materials, a transaction that enabled our client to consolidate its position as the majority shareholder of the target company.
Our advisory services included the comprehensive design and structuring of the transaction, including the analysis of corporate and contractual contingencies, the review of relevant corporate documentation, the negotiation of the transaction terms, and the preparation and execution of the documentation related to the share transfer. The transaction presented challenges inherent to a control acquisition in a strategic industrial sector, requiring legal and commercial coordination between the parties, as well as special attention to corporate governance and post-acquisition shareholder alignment matters.
Our client achieved a controlling position representing 75% of the share capital of the acquired company, strengthening its strategic positioning and expanding its presence in the infrastructure and road construction services sector. The transaction represented a significant corporate acquisition for the business group, consolidating its expansion strategy in key sectors of the real economy.
We advised Voith in the international public tender process for the supply of turbines for the expansion of the Yacyretá Dam hydroelectric plant, providing comprehensive legal counsel on commercial, contractual, administrative, and corporate matters.
The project will increase the total production capacity of the Yacyretá Dam by 9%, raising its energy supply capacity to approximately 17–18% of the National Interconnected System, with a direct and significant impact on the country’s energy matrix.
A&F advised Lion Ventures S.A. in the negotiation and execution of a concession agreement for the commercialization of NUUV smart scooters in Argentina.
Our client executed an exclusive distribution agreement for the importation and commercialization of NUUV smart scooters in Argentina, obtained the corresponding Model Configuration Licenses (LCM), and currently markets the full NUUV scooter lineup in the country through its dealer network.
Our client, an international company, faced the alleged unilateral termination of multiple commercial agreements by a major national sports association. The agreements in dispute included official sponsorship rights and the commercialization of digital assets, representing a value exceeding USD 5,000,000, in addition to conditional payments.
In order to immediately protect our client’s interests and assets, our litigation team sought injunctive relief before the courts.
The court ruled in our client’s favor and granted the requested preliminary injunction. The decision ordered the sports association and the third-party companies involved to respect the validity of the agreements and refrain from carrying out actions that could interfere with our client’s exclusive rights. Although the opposing party appealed the ruling, the strong legal position obtained enabled the parties to reach a favorable out-of-court settlement, preserving and extending the commercial relationship.
